11月27日，元力股份发布公告称，拟通过发行股份及支付现金方式收购福建同晟新材料科技股份公司100%股权，交易作价47070万元，并向公司实际控制人卢元健发行股份募集配套资金1亿元。
元力股份是一家横跨活性炭、硅酸钠、二氧化硅等业务领域的企业集团，活性炭是公司的核心业务，产能达到15万吨，市场占有率达到30%以上。硅酸钠与白炭黑是公司的优势业务，30万吨的高质量低成本的硅酸钠产能，覆盖福建省几乎所有高端白炭黑企业；与益海嘉里金龙鱼合作，利用稻壳（灰）生产绿色白炭黑；建成首台规模化碳酸法白炭黑生产线。新能源碳材料是公司的新兴业务，硬炭、多孔炭、电容炭批量供给钠电、锂电、超级电容器的头部企业。
同晟股份成立于2005年，专注于二氧化硅的研发、生产和销售，采用沉淀法、凝胶法生产各类精细二氧化硅产品，年产量5万吨，建有生产橡胶、蓄电池、牙膏、消光剂和医药辅料的专用生产线。公司于2015年挂牌新三板。2024年净利润为5095.95万元。
元力股份表示，本次并购一方面能够快速补齐公司二氧化硅业务短板，强化“炭&硅”产业循环布局。元力股份作为全球最大的木质活性炭生产企业和国内第二大固体硅酸钠生产企业，其生产的硅酸钠是同晟股份生产二氧化硅的核心原材料，交易完成后可实现产业链上下游协同，通过物料循环、能源梯次利用降低生产成本。另一方面，有助于减少经常性关联交易，避免潜在同业竞争，提升上市公司业务独立性。
此外，同晟股份在二氧化硅领域深耕二十余年，拥有成熟的销售网络和稳定的客户资源，产品销往国内外多个地区，与元力股份在客户开拓、技术研发等方面形成优势互补。交易完成后，元力股份将进一步扩大二氧化硅业务规模，增强在相关领域的市场竞争力，为公司带来新的业绩增长点。
